Article 5: Corporation
1. Party A shall ensure all related information about testing product 2 days before supervision every single time, including testing criteria, testing quantity, testing date, factory contact, etc. Party A also shall inform Party B through email or fax before supervision and test for well plan the assignments. Party B shall respond to Party A about confirming the accurate testing date. (In certain specific situations, Party B shall notify Party A that they cannot finish the supervision and test in the regulated time)
2. Testing price: it is based on the price report that Party B offered in connection with Party A confirmed. The extra expense shall be instructed in the price report.
3. Party B shall send the graphic-text report to Party A via formal email within 1 business day of ending testing. If it is in Sunday, the report shall be allowed to send on next Monday. For urgent report, testing staff of Party B shall fax the handwriting version report to Party A on the requirement of Party A, and send the email report within 1 business day.

Article 6: Payment
1. Every order shall be cleared before 3 days of supervision and test via wire transfer or bank transfer.
2. Every month the supervision and test fee shall be cleared. Party B shall invoice the payment notice in the last month on every 5th to Party A, and Party A shall wire transfer or bank transfer the fee to Party B within 1 week after Party B receives the payment notice.

Article 7: Liability for Breach of Agreement
1. If Party A shall not pay Party B with the supervision and test fee in the regulated 7 days, Party A shall be treated as violating the agreement. Then Party B shall have the right to terminate the agreement and call to account. Over the regulated period of payment, Party A shall pay to Party B in 101% * total delay funds per day.
2. If Party B excesses the activity that regulated by this agreement, Party B shall take the law duty of the activity it excesses.
3. If Party B shall pay for all the testing fee at that time to Party A, if Party B has not assign any testing staff to factory for supervision and test in the ruled time.
4. Party A shall not recruit any employees from Party B.
5. Party B shall compensate 1.5 times of fees of testing, if serious unqualified products, which have tested by Party B and determined as PASS product, occur after shipping.

Article 8: Effectiveness and Termination of the Agreement
1. The agreement is signing in Date___ Month ___, Year___.
2. The agreement is effective by signing and stamping from Party A attorney and Party B attorney. The effective duration is from Date___ Month___, Year___ to Date___ Month___, Year___.
3. There are two copies of the agreement, and each Party holds one copy.

Article 9: Arbitration Rule
