The formation of the business and opening of the account   

Johnston and Duncan formed a company nearly three years ago to take over a small partnership which specialised in the development, design and manufacture of retail merchandising units. The product range had good market potential but the partners lacked the necessary skills to manage and exploit the business opportunities.

The company operates from rented premises in an industrial estate in Edinburgh and opened a current account at the local branch of the Bank of Scotland when the company was established. Johnston was already known as he lived in the area and had kept personal accounts at the branch for many years. At the time the account was opened, favourable credit references were obtained for Duncan.

Prior to forming the company, David Johnston was in sales and marketing with a large international manufacturer while Samuel Duncan is a designer with relevant 3-D CAD experience. A skilled manufacturing team work under the direction of a Production Manager who was formerly employed by the partnership which was taken over.

The two shareholder/directors have adopted Table A in full.


Business operations and practices

The company operates from rented premises, producing a limited range of standard retail carts and kiosks. Output has been around 10 units per month and it takes one month from order to completion. On average, raw materials and finished goods lie in store for half a month each with materials being purchased at the start of each month. No work-in-progress is recognised.
