ABSTRACT
Along with deepening economic restructure and promoting industrial adjustment, the scope and depth of“Opening door” policy is expanding. Foreign capital flows into China at a speed that has never occurred before and it becomes a new trend that foreign investors handle their business through mergers and acquisitions, whose new positive influence and features are obvious. Not all the mergers and acquisitions will bring about monopolizing, but it is necessary to control thatactivity by the Antitrust Law because this controlling is one of the most efficient methods to prevent monopolizing and protect the competitive order. How to utilize foreign investment reasonably and effectively as well as preserve the status of our domestic enterprise needs resorting to laws and regulations, especially Antitrust Law. Scholars have studied on the pros and cons of foreign capital mergers and acquisitions from various aspects. In this paper, combined with case study on horizontal merger between Coca-Cola and Huiyuan, which is the first case rejected by the Chinese Ministry of https://www.51lunwen.org/Economy/2011/0317/0946163842.html Commerce, we discuss the current situation of foreign mergers acquisition and theories of motivation for horizontal mergers and acquisition, and analyse the realistic significance and value goal of Antitrust Law. This paper also focuses on the overall structure of the present legal system about merger and acquisition, pointing the existing problems on definition relevant market, determination of market control and anti-monopoly scrutiny and tables a proposal on how to strengthen the regulations on mergers and acquisitions.

I.INTRODUCTION
Since entering this century, the global economy gradually recoveries and enterprises are busy at mergers and acquisitions. For example, Symantec, the international antivirus software programmer, agglomerates Veritas at the cost of 13,500,000,000 dollars. Another example is Siemens Electrical Apparatus Ltd purchases American medical equipment manufacturer DadeBehring biding for 7,000,000,000 dollars. And headed by Sony, the Citadel Investment Group buysMetro-Goldwyn-Mayer, one of the 5 most famous Hollywood film studios, at 4,800,000,000 dollars. Examples are too numbers to count . Just in 2006, the worldly announced trading volume from mergers and acquisitions reached 4,000,000,000,000 dollars, break the previous world record of 3,300,000,000,000 dollars in 2000.
