1.5 Nature of the Problem
 
Generally, cultural differences between different nations make legal system, from designing to applying; appear dissimilar definitely, even though some countries have transplanted similar law of corporate governance from the other cultures. The proposed company Trend Micro is the most recognized brand name of any company in Taiwan while is not be recognized by the Japanese, who are more familiar with Trend Micro's two major competitors: Symantec (makers of Norton Anti-virus products) and McAfee, Inc. (On June 30, 2004, it changed its name from Network Associates to McAfee, Inc.) [1].
 
Consequently, due to different cultural traditions, as well as some religious faith, have been influential in forming a behavioural norm of current citizens, it posted great challenges for multinational corporations like Trend Micro Enterprise. A good corporate governance system should have strong adaptability with effectiveness, efficiency and suitable to their historic, cultural and economic characteristics; as well as encouraging board and management to pursuant to the objective through appropriate approaches, maintaining effective monitoring system and enhancing confidence of all investors in the market so as to lower the cost of governance and improve economic growth.
 
2.       Literature Review

The definition of culture can be examined from two angles.Generally, it refers to ‘everything that people have, think, and do as members of society’ [2]. Specifically, it can be defined from two dimensions. Firstly, it is a way of life adapts to internal and external environments [2], including people’s usual behaviour and propensity. Apart from this, “culture” is also described as the knowledge, beliefs, literature, customs, morals, ethics and other knowledge or behaviours that obtained as a member of a society, as well as something that shared by the rest of the society. Additionally, culture is not constant and varied between groups, such as different concepts of movie making between France and the USA [2].All in all, culture is a term for describing people’s perceptions or lifestyles and differentiates one group of people from another.
 
Admittedly, culture is crucial for a corporation’s growth. Initially, in order to equip to the increasing challenges of every market, either for products or services, it is essential for employees, to take the initiative in understanding diverse cultures [2]. Furthermore, over the past few years, joint ventures have developed swiftly all around the world. According to Beamer (1998), a professor of marketing at California State University, more conflicts were raised attribute to diverse cultural patterns [3]. Similarly, as Francesco and Gold (2005) indicated, France and America are fighting for preserving each one’s own film industry and attempting to challenge another’s culture [2].
