摘要 改革开放政策实行以来，中国已经成为世界上经济增长最为迅速的国家。经济的高速发展、投资环境的口益改善、法律法规的不断健全、巨大的国内市场和
相对低廉的劳动力，使得中国成为越来越多的国家的首选投资地。
    在众多的对华投资国家中，韩国与中国的经贸关系进展神速。两国1992年才正式建立外交关系，但截至200_5年11月，中国已成为韩国第一大投资对象国、
第一大贸易伙伴和第一大出口市场。韩国成为中国第四大贸易伙伴、第四大出口对象和I第二大进口来源地。
    为了更好地引导和利用韩国对华直接投资，必须对韩国对华投资状况和存在的问题有一个清楚的认识。本文从研究韩国对华直接投资的历程入手，分析了韩
国企业对华直接投资的动因和特点、现阶段存在的问题以及未来可能影响到韩国对华直接投资的一些外部因素;在此基础上，根据“十一五”规划提出的今后五
年内我国经济发展的总体目标，从促进产业结构优化、区域协调发展、加快国企改革等方面，分析并提出了如何更好地利用韩资的建议，以使韩资的发展从根本
上服务十我国的经济建设，同时也为促进中韩两国经贸关系迈上新的台阶做出贡献。

Abstract  Since the policy of reform and opening-up was introduced, China's economy has experienced a rapid growth. The improvement of China's investment environment and its huge domestic market have made it one of first destinations of many foreign investments.
  Compared with all the other foreign countries which have poured investment into china, Korea has a rather late establishment of diplomatic relations with china (in 1992). However, the economic relations between China and Korea have developed at an astonishing  speed.  Up until Nov. 200_5, China has become Korea's biggest investment destination, as well as the biggest trade partner and export market. And Korea is China's third import market, forth biggest trade partner and export market.
    In order to make good use of Korea's investment in China, we have to get a good understanding of the situation and the problems of Korea's investment. This article analyzes the reasons、characteristics and problems of Korea's investment in China,with a review of the history of the investment. Additionally, according to the general goal for the next 5 years which was set in the 11t" Plan of China, this article offers
several suggestions to make better use of Korea's investment from the angle of the optimization of industry structure, the harmonious development of different districts, the innovation of state-own enterprises and so on.
