Therefore, the owner of physical capital occupies a dominant position in enterprises, the investor's interests is above the interests of other members, the final decision of all decision-making also held in the investor - in the hands of shareholders. As economic growth to rely on the physical capital, people generally accepted the idea that physical capital and accumulation of physical capital is the only source of economic growth, economic growth was mainly driven by investment growth, while the shortage of material capital is which mainly restricts economic growth. Therefore, in order to achieve economic growth, it needs to set a strong legal protection for ownership of physical capital, therefore, the concept of shareholder-based company will come into being. With the developing of science and technology, the expansion of enterprises’ scale, the increasing of socialized production and the increasingly increased fierce international competition, since the last century, in enterprises, knowledge, technology and other “spiritual power” has exceeded physical capital at all points and taken the climbing current. With economic growth relying on knowledge capital, production which is on basis of physical capital has shifted to design and innovation which is knowledge-based.
    The relative positions of the two capitals have taken place fundamental changes, the relative position of physical capital declined, position of human capital relatively increased. As the improvement of laborer’s “economic value” as well as the changes of labor and physical capital's “economic status”, it is necessary to expand the legal rights of employees in company and allow them to participate in enterprise management, and in this process, inherent right of owners of physical capital must be restricted.
