is an international phenomenon and as such should be regulated consistently throughout the world. To this end, the United Nations Conference on Trade and Development called on UNCITRAL to establish a model law on E-Commerce.
The Model law set out a number of important principles that should guide governments when introducing national laws on e-commerce.
1. E-information and e-documentation should be legally valid, that is the law should be technology neutral
2. The authenticity of e-communications should be assured. Digital signatures should broadly fall into two categories. Article7 Model Law – basic e-signatures and enhanced e-signatures

The Organisation for Economic Cooperation and Development has stated that;

‘E-Commerce will potentially increase economic growth and development globally’

Policy making must be inclusive. It must involve, internationally, governments, consumers, businesses, employees and public institutions

Governments should promote competition and reduce and eventually eliminate barriers to trade

Government intervention, if necessary, should be proportionate, transparent, consistent, predictable and technology neutral

Industry setting standards and inter-operability should be addressed at the international level

Businesses have a key role in the development of e-commerce.

The OECD suggested four themes for e-commerce initiatives;

1 Building trust for users/consumers
2 Establishing ground rules for the digital marketplace
3 Enhancing the information infrastructure for e-commerce
4 Maximising the benefits of e-commerce

It has to be stated that are certain prerequisites that must be established in order for e-commerce to flourish:

Modern Telecommunications infrastructure
Supportive information infrastructure
Human Resource Infrastructure and education and training of businesses and employees
Legal and Policy initiatives that are ‘e-commerce friendly’

Such an environment means that a minimalist approach to legislation must be adopted. Over-regulation should be avoided. In terms of technology neutrality, it means more than just allowing e-communications to be valid and enforced in court. It means that the law should not promote one technology over another and thus block innovation and the development of new methods. Party autonomy must also be respected. The parties involved in e-commerce should be left to determine between themselves the most appropriate rules and standards that should apply to their e-commerce relationships.

The legal system of a state has the potential to either foster or stymie the growth of e-commerce. The main areas of law that have a major impact upon e-commerce are the following;

Customs and Taxation
Contract formation
Regulation of communications
E-payment systems
Commercial law
Intellectual Property Protection
Privacy and Security – Authentication, Encryption and Data Protection
Communications Infrastructure
Information Technology Content
