The management value of stakeholder

1.0 Introduction
Ever since a long time ago, Corporate Governance arrangement has been in the logic of ‘capital employing labor’, which was based on the characteristics of mortgage of physical capital and the characteristics of assuming risks of enterprise management to emphasize that shareholders are the only governance subject. The concept of the unilateral governance of ‘shareholder sovereignty first’ has been highly regarded for more than a century. However, entering into the 20th century, with the development of modern industrial and commercial enterprises, the scale of companies have been expanded, equity structure becomes more dispersed, making the control power of modern enterprises’ has been gradually mastered by the full-time operators actually. Especially in those new industries, the human capital which is represented by t senior management and key technical personnel doesn’t rely only on physical capital alone, but gradually form a complementary, symbiotic relationship with physical capital and require sharing the added value which is collaboratively created by production elements (Jensen and Sandström, 2011). The criticism on a simple pursuit of maximum profit of enterprises’ and the concerns on enterprises’ corporate social responsibility and ethical problems are more strong than ever. To generate and maintain core competencies, how to coordinate the multiple interests of the subjects of multiple interest within a corporate governance framework to protect that an enterprise’s business activities won’t infringe the rights of stakeholders’ becomes a serious problem which needs to be solved urgently (Freeman and Evan, 1990).

To bring the stakeholder theory into corporate governance enables Wallingford focus more on the pursuit of its long-term goal and sustainable development, as it needn’t to focus only on short-term benefits for the goal of maximizing shareholder value. Also, as the interests of stakeholders’ are maintained, they turn to pay more attention to Wallingford’s development, especially the core stakeholder theory, which reduces the incentive and supervision costs and the opportunistic behavior, they form a long-term stable relationship of cooperation with the company which is based on trust will significantly reduce transaction costs and the cost brought by information asymmetry. A good reputation, a unique organizational culture and a long-term stable cooperative relationship with its customers, suppliers, will form Wallingford’s intangible, valuable assets which are difficult to be imitated or direct acquired by its competitors, and the assets enable Wallingford create a advantage which help it with exceeding its competitors, thereby forming the core competitiveness of the enterprise’s. The research object of this study is an enterprise of software which is in its mature stage.
