me time, the generation and rapid development of commerce also brings great impacts on international trade, new problems appearing, such as how to tax to commerce, guarantee transaction security, confirm signature, draw up a contract and protect electronic money and intellectual property right and so on. The settlement of these issues has a direct association with the commerce development. However, because of hysteretic nature of law, the traditional law hasn’t made necessary supplement or amendment for this new transaction mode timely, leading to some derivative legal issues which are unable to apply to the current laws to regulate and adjust. These negative problems stop many enterprises engage it and also limit commerce’s smooth development. Faced with such condition, it is necessary and important to make some supplements and adjustments in commerce field. Having been working as a legal counselor for several big companies, I have handled a large number of law disputes also witnessed many legal issues occurring in commerce field, which results in bad impacts even damage on enterprises due to lack of proper laws to regulate and adjust. Commerce is a kind of new transaction mode and there must be supported and protected by laws timely. In order to apply to Internet transaction, Chinese traditional laws should make necessary supplement and adjustment. Therefore, making a positive study on commerce and developing a flexible law frame to regulate commerce is very important, which is not only able to protect different aspects’ benefits in commerce but also ensure the commerce transaction successful. Commerce is a kind of global business whose law frame shouldn’t be restricted within one country but need to apply to businesses worldwide, gaining international authorization and compliance. Transaction through Internet is a big market, not restricted by time and region, but the standard and methods used by countries to control commerce are different. Then my research proposal will discuss some issues accordingly.
I am satisfied with my current research work on legal issues of commerce. However, commerce is global business whose law frame shouldn’t be constrained within one country. What’s more, due to the condition of the experiments, finances and personal experiments are restricted; I would like to find an opportunity to go abroad for further study and research. The legal field is broad and profound, containing extensive knowledge. And commerce is a new mode of transaction which needs more cooperation, mutual learning and exchanging views. I hope to be given the opportunity to study and research in US Davis School of law.
