1.0 Introduction

Specifically speaking, the mechanisms of syndicated loans both in common law and civil law would be analyzed, especially the jurisdications of transferring the syndicated debt; author of this paper will also explore the reasons for these differences. Before illustrating and reasoning the differences, author of this paper will first review some basic theories of syndicated loans, such as its definition, character, history etc.
2.0 Syndicated Loans
It is said that syndicated loans originated in USA after the Second World War, but Stanley Hum believed that before the First World War, syndicated loans have produced out in Germany and it just develops and grows along with the economy’s expansion (1990). This means toward the origination of Syndicated Loans, this is still a disputable question. For the author of this paper, syndicated loan is an important financing technology. It is the result of economy development and social progress. It can promote the economy development with supplying enough financial supporting. What is more, syndicated loans also promote the growing of scale economies and enterprise group. No matter how, syndicated loan does have a fast development after the Second World War in the market of Europe, America and Japan.
