Abstract 摘要

本文主要在前人研究的基础，研究了英国FTSE 250公司治理和公司绩效之间的关系。本论文首先描述了研究的背景，然后倒入正式研究主题，其次分析了以前的文献综述研究，从而总结得出了的重要结论。根据以往的研究基础，构建出了论文的内容和结构，和论文的研究对象。

Based on the previous research, this paper mainly researches the relationship between corporation government and performance of corporation based on the FTSE 250 of UK. Firstly describe the background of research and leads to the topic; secondly analysis the literature of https://www.51lunwen.org/CorporateGovernance/ previous research, and summary the important conclusions, based on the previous research and built the content and structure of paper, and the object of paper. Thirdly research the theory about the effect of corporation government to the performance of corporation, and analysis the reasons that corporation government affect the performance of corporation. And explain the reason from some theories. Fourthly, the situation of corporation government in UL’s company, research the corporation government of listed company in UK. Fifthly, research the relationship between corporation government and performance of corporation from the empirical research, make a describe statics, then build model and application the statistical software to treat the data, and analysis the regression results. sixthly, conclusions and advises, based on the empirical research results, take some advises for the corporation government for the listed company of UK. and found The share holders structure is not reasonable, the concentrate of shareholders is very high；The board of directors and independent directors of company is built by the rules of government, but the efficient is very lowly；The listed company have built the incentives and constrains system of company in UK. But the system is single；The information disclosure system is a problem; the empirically research founds that the Top1 shareholder shareholding ratio, the Top10 shareholder shareholding ratio, the independent board of directors ratio, separate of CEO and board of directors, the stock incentive plan, the asset scale and the asset-liability ratio affect the ROE and total value of company. This is similarly with previous research conclusions, that is to say the excellent corporation government can improve the performance of company, and increase the total value of company. So the companies in UK must build a excellent corporation government, only in these way can improve the performance of company, then increase the value of company.
