1.1 Summary of the case
Duke v Pilmer case is the typical case on national partnership. The plaintiff K completed a successful takeover of W by which it acquired all the issued capital of W. Prior to making its takeover bid for W, K retained the first defendeants, NWP, who were practising accountant partners in Perth. K retained NWP to prepare a report to comply with Listing Rules of the australian stock Exchange, particularly Listing rule 3J(3). While K suffered loss as a result of the takeover and this loss caused by NWP’s breach of their alleged duties. K initially also commenced proceedings against 45 accountants practising in various australian states, whom it alleged were memberss of a national partnership. After trial, the judge considered that there was no national partnership between them.

3. Conclusion
From this paper, we can conclude that Partnership Law is not an appropriate way to regulate such large partnerships as described in this case. And then, around this question, there are several parts to conclude this: (i) the definition of partnership, such large ‘partnerships’ cannot meet the definition of partnership, because partnership refers to the agreement that two or more civil subjects jointly contribute capital, manage together, share profits and losses, but if the partnership is too large, then it is difficult for the persons concerned carry on business, in common, with a view of profit. (ii) there are different liabilities of partners to each other and to third parties; (iii) there are some difficulties which may arise in regard to change in membership, such as duplicate partnership and the order to pay off partnership debts and personal debt; (iv) the company law or partnership law should be amended to prevent the use of partnerships for more than 20 partners.
