As China sees the environment fostering M&A accelerating more and more each day――following its accession to the WTO and the continuing development of sophisticated capital and securities markets, banking reforms, adoption of international standards of accounting, financial reporting, corporate governance and disclosure measures, the M&A industry is positioned to boom. The consensus of China-watchers is that M&A deals will amount to hundreds of billions of RMB over the forth coming years. Mergers, acquisitions, strategic and financial combinations, leveraged and management buy-outs will burgeon in lockstep with the opportunities of value creation and realization, increased “opening” to foreign parties to participate, and exit and liquidity events develop. Unquestionably, China will be the global vector for M&A. Along with its WTO accession; the Chinese government is making large advances towards the completion of a well-rounded legal framework for the creation of a dynamic and safe environment for enthusiastic foreign investors to enter the Chinese market. International and domestic investors, accounting firms, strategy consultancy firms, law firms, investment banks and governmental institutions are eager to know what the latest policies, regulation and development opportunities in the field of M&A are. China is a large country with a complicated economic system. It is no easy job for those foreign investors to learn about why and how to invest in China and the upward trend in China’s M&A market looks set to continue.

However, watching the fat deer dancing in the field is still far from catching it. In order to take advantage of these opportunities and to extract the maximum value from a deal, investors would be wise to be mindful of the impact on an ever-changing legal environment and traditional mindsets. All information, not only the data needed when making decisions on investment, making M&A deals and setting up businesses in China, but also an analysis on the investment environment and M&A cases, is expected to be found in this book. The authors of the book are attorneys, who have profound experiences in this field and will provide the most insightful advice.
