4.2 Concerns for how to improve the role of the CEO in corporate governance ?
According to Dr. Curtis J.Crawford,  whether the CEO and board chair roles are combined is situation driven and company specific. If each director exercises his or her authority and responsibility, the chair will remain in check whether or not he or she has the additional role of CEO. Only irresponsible directors allow a board chair to rule the board without their collective involvement. Enlightened directors are neither weak nor apathetic, they are quite capable of dealing with any board chair.

Chapter 5.Summary
The corporate governance arrangements determine whom the organization is there to serve and how the purposes and priorities should be decided.
